ESOP TERMS AND CONDITIONS
Who can participate?
All employees who have an employment contract on the last day of the subscription/cancellation period, i.e., June 23, 2026, in a company included in the scope of the ESOP 2026 offer and a member of the Technip Energies PEG (group savings plan), and with at least three (3) months’ seniority within the Technip Energies Group, whether consecutive or not, between January 1, 2025, and June 23, 2026.
All retirees of companies participating in the Technip Energies PEG who still have assets in the PEG on the last day of the subscription/cancellation period, i.e. June 23, 2026. Retirees do not benefit from the matching contribution.
What is the investment period?
Your investment in ESOP 2026 is subject to a lock-up period of five years, i.e., until July 30, 2031. However, there are currently 13 cases of early withdrawal provided for by law, listed in the PEG regulations available on this website. Only in these cases will you be able to recover your assets before their availability date without loss of the tax and social security benefits stipulated above.
What are the payment methods?
Several payment methods are available. You can pay for your investment:
- Through voluntary payment:
- in cash through a direct debit from your bank account, or
- in six (6) monthly instalments1 through a deduction from your salary.
- By allocation, only during the reservation period (from April 28 to May 12, 2026), of all or part of your profit-sharing and/or incentive payments. Prior to the capital increase, the profit-sharing and incentive amounts will be paid into the “T.EN Relais France 2026” employee investment fund, which will be invested prudently until the capital increase.
After the subscription price has been announced, you will have the option to withdraw during the subscription/withdrawal period. Please note that in this context, the amounts from profit-sharing and incentive schemes that are subject to withdrawal will be automatically invested in the “AMUNDI 3 MOIS ESR-A” employee share ownership fund.
You will then be able to transfer your assets to another PEG FCPE. These assets will remain blocked until the end of the plan's lock-up period, except in the event of early release.
How much can you invest?
- No minimum investment.
- Maximum:
Your total payments into all savings plans (except collective company pension plans) during 2026 must not exceed 25% of your gross annual salary in 2026 (including bonuses, premiums etc.). The incentive and profit-sharing amounts allocated to the plan are not taken into account for this calculation. If you participate in the ESOP Leverage offer, the bank supplement paid into this offer (equal to 9 times the amount of your personal contribution) is included in the calculation of this ceiling.
However, the matching contribution paid by your employer under ESOP Classic is not taken into account.

To check that your personal contribution to the ESOP 2026 does not exceed the authorized limit, a simulator is available.
What happens if demand exceeds
the number of shares offered in ESOP 2026?
The offer is for a maximum amount of shares corresponding to 1.5% of the share capital, up to a total subscription amount of 55 million euros.
In the event that the number of subscriptions exceeds this limit, reductions in the number of shares allocated will be calculated as follows:
- The total number of shares offered shall be divided by the number of subscribers to obtain the "average subscription".
- All subscriptions for an amount less than or equal to this "average subscription" shall be met in full.
- All subscriptions for a number of shares greater than the "average subscription" will be served in proportion to the number of shares requested and not yet allocated.
Then, if more than one payment method is used, the reduction will be made in the following order of priority:
- Through voluntary payment:
- in cash through a direct debit from your bank account, or
- in 6 monthly instalments1 through deduction from salary.
- Through allocation of all or part of the profit-sharing and incentive payments.
Please note that payment transactions will only be made and invested after any reduction. If the reduction relates to the profit-sharing or incentive payment, the reduced portion will be transferred to the "AMUNDI 3 MOIS ESR-A" FCPE. You can then transfer your assets to another FCPE of the PEG. This amount will remain locked-up until the end of the lock-up period provided for in the plan, except in the event of early release.
